THIS DOCUMENT sets out the terms and conditions of the agreement between us UKdivorce lawyers (UKDL) and you (The Solicitor)

WHEREAS UKDL operates a website that provides legal information to trhe users of that website (the users). The Website incorporates a Directory of Divorce Lawyers practising in the United Kingdom (the directory)


IT IS AGREED AS FOLLOWS:-

1. IN CONSIDERATION of an annual fee payable by the solicitor to UKDL (the `annual fee` UKDL will provide a full profile of the solicitor in the directory. The profile shall include as much information as the solicitor deems appropriate and shall include a photograph of the solicitor, a direct email link and a direct link to their firms website. The solicitor shall be able to make any changes they wish to their profile at no extra cost, by requesting the changes by email on receipt of which UKDL will upload said changes to the profile within five working days.

2. THE AMOUNT of the annual fee is £125 . This may be subject to an annual change at the discretion of UKDL no such increase shall occur for a period of three years from the date of the payment of the first annual payment.
UKDL shall invoice the solicitor for the annual fee when the annual fee becomes payable which shall be the anniversary of the first annual fee being paid.

3. The solicitor shall not undermine denigrate or do anything to damage the reputation of the website.

4. Any and all terms, conditions or warranties implied by statute or otherwise are hereby excluded save for those that may not be lawfully excluded. UKDL shall not be liable to the solicitor, either in contract or tort(including negligence) or otherwise for direct or indirect loss of profits, business or anticipated savings or for any indirect or consequential loss or damage or for any destruction of data, however such loss shall be suffered.

5. This agreement will continue in force until such time as either party feed fit to terminate it in accordance with the terms of his clause.
The solicitor will become liable to pay the annual fee on the anniversary of the first annual fee being paid unless the solicitor gives UKDL 30 days notice by email or through the post prior to the date of any annual fee becoming due of their intention to terminate this agreement. UKDL can also terminate the agreement by giving notice in like form to the solicitor.

6. UKDL are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this agreement

7. If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain enforceable. UKDL`s failure to act with respect to a breach of this agreement by the solicitor does not waive UKDL`s right to act with respect to subsequent or similar breaches.

8.This Agreement shall be governed by and construed in accordance with the Laws of England and Wales and each of the parties submits to the exclusive jurisdiction of the Courts of England and Wales
